Terms and Conditions(Required) Langden Knowsley (LK) invites client companies to work with its independent process learning providers under these terms and conditions. Participation indicates agreement to uphold these standards with integrity and collaboration.
LK-T1
CONTRACTUAL AGREEMENT
This agreement establishes a partnership between the client company and the independent process learning provider, who designs and delivers the corporate training program. LK acts as a facilitator and mediator, supporting both parties, but does not create or deliver programs. Once signed, this document is a binding commitment for all parties.

PROGRAM DETAILS AND COSTS
LK corporate training programs focus on practical business processes, enabling organizations to implement effective solutions through expert training and facilitation.
Programs run for one year and include 12 monthly workshops, each lasting 8 hours. Workshops are available at the client’s location, an LK office, or online. This structure delivers sustained benefits and measurable return on investment.

Price: $5k/mo or $60k/yr ($500 per seat)

LK charges a 10% service fee on the total value of all corporate training programs delivered through LK or its member consultants. Learning providers who refer consulting pr program orders to LK or accredited consultants receive 10% of the total value of any resulting program or service orders.

PAYMENT OF FEES
After this agreement is finalized, LK will issue an annual invoice on behalf of the independent learning provider. Program fees are payable monthly in advance, usually on the first day of each month. Services begin on the first day of the month. All payments must be made in USD by international bank wire transfer to LK’s designated accounts. Account details are available upon request.

ACS PROGRAM INFORMATION GUIDES
LK provides a range of corporate training programs, each with a comprehensive information guide. These guides include an executive summary, methodology, curriculum, objectives, client testimonials, and a sample of the first monthly workshop. This transparency helps clients make informed decisions and select solutions that meet their needs. If there is a conflict between a program guide and this application form, the terms of this application form will prevail.

LIABILITY
Independent learning providers deliver LK corporate training programs on a best-effort basis. Advice or support from these providers reflects their professional opinions and does not necessarily represent LK’s views. Client companies are responsible for their own decisions and may not hold LK or the providers liable for outcomes resulting from such advice. LK is available to mediate contractual disputes between client companies and learning providers.
LK-T6
TERMINATION
This agreement is valid for 12 months and may be renewed for another 12 months by mutual consent. Early termination is permitted only if both the client company and the independent learning provider agree in writing. Fixed program agreements provide stability and consistent service for all parties.
Learning providers are expected to act responsibly, with integrity and honesty, in accordance with this agreement. LK may refuse or cancel membership if a provider fails to meet membership terms, breaches the contract, acts unprofessionally, or brings LK or its clients into disrepute.
REFUND POLICY
LK program fees are non-refundable. LK provides detailed information about each training program before finalizing the agreement and collecting any costs, including a comprehensive program guide. Clients are encouraged to conduct independent research, submit a Client Meeting Request (CMR) Form, or arrange a meeting with the learning provider. The application process takes at least four weeks, followed by a two-week offer period. LK and the learning provider are not liable for misunderstandings, misinterpretations, or a client’s inability to benefit from the program due to internal corporate reasons. Clients must provide all required information promptly to ensure professional service. LK and learning providers are not responsible if clients choose not to use the program or cannot commit the necessary time during the service period.

COPYRIGHT
All content in LK service communications, including emails, information guides, training materials, and websites, is protected by copyright. No material may be copied or reproduced without LK’s prior written consent. Learning providers retain ownership of intellectual property for programs they create and deliver through LK.
LK-T8
REPRESENTATION
Learning providers may refer to themselves as an LK Process Learning Provider (PLP) when appropriate. They do not represent LK and are not its employees or agents, nor are they employees or agents of LK’s associated companies.
LK-T9
PRIVACY POLICY AND TERMS OF USE
The LK privacy policy and terms of use are part of this agreement. LK may amend or update its terms and conditions at any time.
LK-T10
INDEMNIFICATION
The learning provider agrees to indemnify LK against any civil or criminal legal actions and related financial damages arising from the provider’s work. The provider must maintain adequate Professional Indemnity Insurance to cover potential claims of negligence or failure to meet the duty of care.
LK-T11
PRIVACY AND CONFIDENTIALITY
LK’s privacy and confidentiality policy binds learning providers during and after their membership. They may not disclose, publish, or communicate any information related to training engagements, clients, other providers, or LK without prior written consent. Providers must act responsibly to protect third-party privacy. Violations may result in legal action. Learning providers must comply with all applicable laws and inform LK if they are arrested, charged with any offense, or declared bankrupt or insolvent during their membership. Providers agree to indemnify LK against legal cases resulting from their own malpractice or misconduct.
LK-T12
INTEGRITY
Learning providers are expected to act with integrity and goodwill during and after their association with LK and to maintain professional conduct at all times.
LK-T13
DISBURSEMENTS
Quoted costs and program fees apply to virtual services. If in-person attendance at client premises or external meetings is required, the client company is responsible for all associated expenses, including travel and accommodation. These expenses must be agreed upon in advance.
JURISDICTION
The LK Client Program Order (CPO) terms and conditions are governed by the laws of the British Virgin Islands (BVI) and the United Kingdom. Learning providers and client companies acknowledge that any litigation or court action will take place exclusively in the British Virgin Islands (BVI), regardless of the parties’ locations.
Your statutory rights are not affected.

By signing this form, I confirm that I have read and understood the terms outlined above.
I freely and voluntarily give my consent to participate in the program, or service described. I understand the responsibilities, requirements, and any potential risks involved.
I accept the terms and conditions of this agreement and agree to comply with all related rules and policies. I understand that I am committing to the program for a fixed period of 1-year incorporating 12 x 8-hour monthly workshops, and that program tuition fees are not refundable.
